TaGo Terms of Reference

Acceptance

This Terms of Use Agreement ("Terms"), including the BINDING ARBITRATION AND CLASS ACTION WAIVER CONTAINED HEREIN govern your access to, use of, and participation in the Platform made available by Facilici Inc.("TaGo," "we," "our," or "us") or through TaGo and the entirety of your relationship with TaGo.

Thank you for your interest in TaGo (tradeandgo.com), a Platform ("Website and Mobile Applications") owned and operated by Facilici Inc., a Florida corporation ("TaGo," "we," or "us"). TaGo provides consumers (collectively, "Consumers," and individually, "Consumer," "User," or "you") an online venue to locate and solicit quotes from service providers in various lines of work and commerce (collectively "Pros"). By registering on TaGo’s Platform, you become a Consumer at no cost and will have the ability to seek referrals for businesses and service providers. References to Websites shall include, but are not limited to, any and all uses of tradeandgo.com via mobile applications, mobile devices, personal computers, email, telephones or other electronic devices.

As detailed in the eligibility, service member representations, warranties, and use of the platform section below, if you are a service member, you understand and authorize tago to use your information to obtain background checks and business credit checks from its vendors throughout the use of the service.

PLEASE READ THE TERMS THOROUGHLY AND CAREFULLY. BY USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU MAY NOT ACCESS OR USE THE PLATFORM.

All references to "you" or "your," as applicable, mean the person who accesses, uses, and/or participates in the Platform in any manner, and each of your heirs, assigns, and successors. If you use the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity, your acceptance of the Terms will be deemed an acceptance by that entity, and "you" and "your" herein shall refer to that entity, its directors, officers, employees, and agents.

This Terms of References applies to all information collected by or provided to us on or after the Effective Date. TaGo will periodically review and make changes to this Policy as TaGo updates and expands the Platform. When we make any changes we will update the Effective Date above. We will treat your continued use of the TaGo Platform following such changes as your acceptance of the changes. If our practices change regarding previously collected personal information in a way that would be materially less restrictive than stated in the version of this Policy in effect at the time we collected the information, we will make reasonable efforts to provide notice and obtain consent to any such uses as may be required by law, but will not be liable for any failure to do so. We also encourage you to periodically review this Policy.

Amendments

You acknowledge and agree that TaGo may amend this Agreement at any time by posting a revised version of this Agreement on TaGo’s Platform (Website and Mobile Applications) or by notifying Consumers directly in TaGo's sole discretion. Your continued use of TaGo’s Platform (Website and Mobile Applications) after any changes are made to this Agreement shall constitute your consent to such changes. TaGo does not and will not assume any obligation to notify Consumers of any changes to this Agreement, or the creation or modification of any additional terms. You are responsible for remaining knowledgeable about the most current version of the Terms of the Agreement.

Use and Age Restrictions

Use of the Platform is permitted only by individuals who can form legally binding contracts under applicable Law. Without limiting the foregoing, use of the TaGo Website is not permitted by anyone under the age of 18. If you do not qualify, please do not use TaGo’s Platform.

In reference to the Children’s Online Privacy Protection Act (COPPA), the Services and the collection of data through the use of the Services are not offered nor available to users who are 13 years of age or younger. By using the Services, you represent and warrant that you are not below the age of 13 and that you are of 18 years of age or older. If you do not meet these requirements, you may not access, use, or install the Services. Please see our Privacy Policy for more information on our Services and COPPA.

Agreement Solely with Provider

When a Provider contacts a Consumer, the Provider is acting on the Provider's sole behalf and is not a representative or agent of TaGo or their affiliates. You agree that TaGo is not responsible for the accessibility or unavailability of any Provider or for your interactions and dealings with them, waive the right to bring or assert any claim against TaGo relating to any interactions or dealings with any Provider, and release TaGo from any and all liability for or relating to any interactions or dealings with Provider. If Consumer decides to use the Provider's services after submitting a Provider Request, Consumer and Provider may enter into an agreement for the Provider to perform services and the Consumer to pay the Provider for the services rendered. This agreement is solely between the Consumer and Provider, and TaGo and their affiliates are not parties to such agreement. TaGo and their affiliates are not and will not be parties or third-party beneficiaries to any agreements entered into by and between Consumer and Provider. Accordingly, please consider carefully before you agree to a Provider's offered services.

License

Subject to your compliance with these Terms and Conditions, TaGo grants to you a limited, non-exclusive, non-sublicensable, revocable, and non-transferrable license to: (a) download, install, and use the Application on your personal (if you are a Customer) or commercial (if you are a Service Provider) mobile device solely for the purpose of facilitating the receipt of (if you are a Customer) or provision of (if you are a Service Provider) services for job requests originated through the Application; (b) access and use TaGo’s Platform (Website and Mobile Applications) and its content solely for the purpose of facilitating the receipt of (if you are a Customer) or provision of (if you are a Service Provider) services for job requests originated through TaGo’s Platform (Website and Mobile Applications) ; and (c) access and use any content, information, and related materials that are made available to you through the Services, in each case solely to assist with the facilitation of services for one or more jobs requested through the Application or Website.

You may not: (a) copy the Services; (b) modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of the Services; (c) reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Services or any part thereof; (d) remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from the Services, including any copy thereof; (e)rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Services, or any features or functionality of the Services, to any third party for any reason, including by making the Application available on a network where it is capable of being accessed by more than one device at any time; (f) remove, disable, circumvent, or otherwise create or implement any workaround to any copy protection, rights management, or security features in or protecting the Services; or (g) use the Services in, or in association with, the design, construction, maintenance, or operation of any hazardous environments or systems, including any power generation systems; aircraft navigation or communication systems, air traffic control systems or any other transport management systems; safety-critical applications, including medical or life-support systems, vehicle operation applications or any police, fire, or other safety response systems; and military or aerospace applications, weapons systems, or environments.

You acknowledge and agree that the Services are provided under license, and not sold, to you. The Services and all rights therein are and shall remain TaGo’s property or the property of TaGo’s licensors. Any rights not expressly granted herein are reserved by TaGo and TaGo’s licensors.

Third Party Services and Content

The Services may be made available or accessed in connection with third party services and content (including payment solutions) provided by third parties (“Third Party Providers”) that TaGo does not control (including the collection of payment information). You acknowledge that different terms of use and privacy policies may apply to your use of such third-party services and content. TaGo does not endorse such third-party services and content and in no event shall TaGo be responsible or liable for any products or services of such Third-Party Providers. Additionally, Apple Inc., Google, Inc., Microsoft Corporation or BlackBerry Limited will be a third-party beneficiary to this contract if you access the Services using Applications developed for Apple iOS, Android, Microsoft Windows, or Blackberry-powered mobile devices, respectively. These third-party beneficiaries are not parties to this contract and are not responsible for the provision or support of the Services in any manner. Your access to the Services using these devices is subject to terms set forth in the applicable third-party beneficiary’s terms of service.

User Accounts

To access the Services, you may be required to provide certain registration details or other information. It is a condition of your use of the Services that all the information you provide through the Services is correct, current, and complete. You agree that all information you provide to register for use of the Services or otherwise, including but not limited to through the use of any interactive features provided by the Services, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

When you choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity (your “Account”). You also acknowledge that your Account is personal to you and agree not to provide any other person with access to the Services or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your Account at the end of each session. You should use particular caution when accessing your Account from a public or shared computer so that others are not able to view or record your password or other personal information. We will not be liable to you for any unauthorized access to or use of your username or password or any other breach of security.

We have the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms and Conditions.

Licensing

Providers are requested to post licensing information in their Skill Profiles. Different jurisdictions may require state and/or local (county or municipal) level licensing for certain services, work, and/or project amounts. The term "Providers" shall not be construed as a representation by TaGo or their affiliates that all Providers are properly licensed. Consumers are solely responsible for determining which licenses, if any, are required for their requested services and whether the Provider that Consumer selects is properly licensed. Before you proceed with a project, you should confirm all licensing requirements with your state and local authorities and your selected Provider. TaGo always recommends that you ask the Provider to provide you with a copy of their license(s).

Promotional Codes

TaGo may, in TaGo’s sole discretion, create promotional codes that may be redeemed for Account credit or other features or benefits related to the Services and/or a Third Party Provider’s or Service Provider’s services, subject to any additional terms that TaGo establishes on a per promotional code basis (“Promo Codes”). You agree that Promo Codes: (i) must be used for the intended audience and purpose, and in a lawful manner; (ii) may not be duplicated, sold, or transferred in any manner, or made available to the general public (whether posted to a public form or otherwise), unless expressly permitted by TaGo; (iii) may be disabled by TaGo at any time for any reason without liability to TaGo; (iv) may only be used pursuant to the specific terms that TaGo establishes for such Promo Code; (v) are not valid for cash; and (vi) may expire prior to your use. TaGo reserves the right to withhold or deduct credits or other features or benefits obtained through the use of Promo Codes by you or any other user in the event that TaGo determines or believes that the use or redemption of the Promo Code was in error, fraudulent, illegal, or in violation of the applicable Promo Code terms or these Terms and Conditions.

Relationship between TaGo and Provider

TaGo and Provider are separate entities and the employee of one of those entities is not an employee of another entity. TaGo is not an agent of Provider and Provider is not an agent of TaGo. In no event will TaGo be considered a general contractor, specialty contractor, construction manager, project manager, joint employer, joint venture, or partner of Provider or any of its affiliates or their respective personnel.

Insurance and Bonding

Providers may post information and documents concerning insurance policies and/or bonds covering their services. TaGo does not verify this information. Before you proceed with a project, you should confirm the Provider's existing insurance coverages and limits and whether it has bonds in place.

No Warranty or Endorsement of Provider Services

TaGo does not endorse or recommend the services of any provider. The decision to enter into an agreement for work belongs entirely to the consumer. TaGo does not warrant the provider's performance on the job or the quality of goods, materials, equipment or services furnished by provider. TaGo does not contract for or perform, and is not responsible for, any of the services requested by the consumer in the provider request. You expressly acknowledge and agree that your use of TaGo’s Platform is at your sole risk. TaGo makes no representations or warranties as to the conduct of any provider or the provider's ability to provide a service compliant with the consumer's provider request. You expressly acknowledge that TaGo makes no warranties, either express or implied, regarding the quality of services rendered by any service provider.

TaGo Guarantee

A. Referral Service Guarantee
TaGo does not and cannot guarantee the work, materials supplied, or services rendered by the Provider. TaGo has no obligation or relationship whatsoever to the Consumer with regard to the provision of work, material or services by the Provider. However, TaGo offers Consumers a referral service guarantee ("TaGo Guarantee") valid for thirty (30) days after the Provider completes or abandons the services or work required by the agreement between Consumer and Provider. The TaGo Guarantee is intended to restore Consumer's confidence in the referral services provided by TaGo. The TaGo Guarantee does not cover faulty workmanship of the Provider and damages to your product or property that arise from or relate to the services of the Provider.

B. Eligibility Requirements for TaGo Guarantee
In the event that a Consumer and Provider are unable or unwilling to agree upon a resolution pursuant to Section XVI. E below, the Consumer may be eligible, ,for the TaGo Guarantee aimed at rectifying Consumer's dissatisfaction with TaGo's referral if it strictly complies with all of the conditions of this Agreement. To be eligible for the TaGo Guarantee, the Consumer must:

C. TaGo Guarantee Payment Limit
In the event that the above conditions are met by the Consumer, TaGo may make payment to Consumer up to $500. TaGo reserves the right, in its sole discretion, to determine the TaGo Guarantee amount.

D. Not Insurance or Security for Provider's Performance
The TaGo Guarantee is not insurance nor security for the performance of work, services, or materials supplied by Provider.

E. Agreement to Communicate with Provider
Consumers dissatisfied with a job performed by a Provider agree to resolve issues directly with the Provider without the involvement of TaGo. If direct communications and efforts between the Consumer and the Provider do not satisfy Consumer's concerns, TaGo may, in its sole discretion, contact Consumer and Provider to facilitate further communication regarding Consumer's dissatisfaction. However, TaGo is not responsible or liable to either the Consumer or the Provider if a mutually acceptable resolution is not reached between Consumer and Provider. TaGo does not, at any time, become a party to Your dispute with the Provider.

Account Settings

You represent and warrant that (a) you own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our licensees, successors, and assigns; and (b) all of your User Contributions do and will comply with these Terms and Conditions. You understand and acknowledge that you are solely responsible for any User Contributions you submit or contribute, and you, not TaGo, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. We are not responsible, or liable to any third party, for the content or accuracy of any User Contributions posted by you or any other user of the Services.

We have the right to (a) remove or refuse to post any User Contributions for any or no reason in our sole discretion; (b) take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates these Terms and Conditions, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Services or the public, or could create liability for TaGo; (c) disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy; (d) take appropriate legal action, including without limitation, referral to law enforcement for any illegal or unauthorized use of the Services; and (e) terminate or suspend your access to all or part of the Services for any reason, including any violation of these Terms of Use.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials through the Services. YOU WAIVE AND HOLD HARMLESS TAGO AND ITS AFFILIATES, OTHER LICENSEES, AND OTHER SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

We cannot review all material before it is posted through the Services and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

These content standards (“Content Standards”) apply to any and all User Contributions and use of the Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not (a) contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable; (b) promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; (c) infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person; (d) violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and Conditions and our Privacy Policy; (e) be likely to deceive any person; (f) promote any illegal activity or advocate, promote, or assist any unlawful act; (g) Impersonate any person or misrepresent your identity or affiliation with any person or organization; or (h) give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

Disputes with Providers

TaGo will not directly participate in the resolution of any disputes between Consumers and Providers (collectively "Users") and is not responsible for disputes, claims, losses, injuries or damage of any kind that might arise out of or relate to conduct of Users.

Relationship Between Providers and Consumers

CONSUMER IS SOLELY RESPONSIBLE FOR ITS INTERACTIONS WITH PROVIDERS, INCLUDING THE TERMS AND CONDITIONS OF ANY CONTRACT ENTERED INTO BETWEEN CONSUMER AND PROVIDER. CONSUMER'S RIGHTS UNDER CONTRACTS YOU ENTER INTO WITH PROVIDERS ARE GOVERNED BY THE TERMS OF SUCH CONTRACTS AND BY APPLICABLE FEDERAL, STATE, PROVINCIAL AND LOCAL LAWS, INCLUDING WITHOUT LIMITATION, STATE LAWS RELATING TO HOME IMPROVEMENT CONTRACTS. SHOULD YOU HAVE A DISPUTE WITH ANY PROVIDER, YOU SHOULD ADDRESS SUCH DISPUTE WITH THE PROVIDERS DIRECTLY. TAGO IS NOT A PARTY OR THIRD-PARTY BENEFICIARY TO THE CONTRACTS BETWEEN CONSUMERS AND PROVIDERS.

No Warranties

TaGo makes no representation about the suitability of the contents or services of our platform for any purpose. TaGo does not promise that TaGo’s Platform (website and mobile applications) will be error-free, uninterrupted, or that it will provide specific results from use of TaGo’s Platform (website and mobile applications) or any content, search or link on it. TaGo’s Platform and its content are delivered on an "as-is" and "as-available" basis. TaGo cannot ensure that any files you download from TaGo’s Platform (website and mobile applications) will be free of viruses or contamination or destructive features. TaGo shall not have any liability or responsibility for any errors or omissions in the content of this website, for your action or inaction in connection with this platform or for any damage to your computer or data or any other damage you may incur in connection with this website. TaGo specifically disclaims all warranties and conditions of any kind, express or implied, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title and non-infringement. TaGo makes no guarantees of any specific result from use of this platform. Your use of TaGo’s platform is at your own risk.

The provisions of this paragraph shall be enforced to the fullest extent permitted by law. Exclusions of liability contained in paragraph are not applicable to residents of New Jersey. With respect to residents of new jersey, tago shall not be liable for any damages resulting from the use of this platform or the materials on this platform, unless such damages are direct damages and are proven to be the result of the negligent, reckless or intentional acts or omissions of tago, in which case TaGo may only be liable in the amount and proportion that TaGo's acts or omissions caused such damages.

Limitations of Liability

In no event shall TaGo, its officers, directors, affiliates, parent or subsidiary companies, employees and/or agents be liable for any damages whatsoever, including without limitation, direct, indirect, punitive, incidental, general, special or consequential damages, arising out of or relating to (1) the use of, content in, delay or inability to use, or otherwise arising in connection with this website, (2) the conduct of a user, Provider or anyone else in connection with the use of TaGo’s Platform (Website and Mobile Applications) , including without limitation, bodily injury, property damage, emotional distress, and/or any other damages, whether based on contract, tort, strict liability or otherwise, even if advised of the possibility of any such damages. TaGo is not liable for any lost data resulting from the operation of TaGo’s Platform (Website and Mobile Applications) . TaGo expressly disclaims any and all liability for the acts, omissions and conduct of any third party users, TaGo users, advertisers and/or sponsors on TaGo’s Platform (Website and Mobile Applications), in connection with TaGo’s Platform (Website and Mobile Applications) or otherwise related to your use of TaGo’s Platform (Website and Mobile Applications). By using TaGo’s Platform (Website and Mobile Applications), you agree to take reasonable precautions in all interactions with other users of TaGo’s Platform (Website and Mobile Applications). To the extent your state does not allow the limitation of certain types of damages, portions of the above exclusion may not apply to you.

Some states and/or jurisdictions do not allow the exclusion or limitation of direct, indirect, incidental, special and/or consequential damages, so the above exclusion may not apply to you. The above exclusions of liability are not applicable to residents of New Jersey. With respect to residents of new jersey, TaGo shall not be liable for indirect, special, or consequential damages arising out of or relating to (1) the use of, content in, delay or inability to use, or otherwise arising in connection with this website, (2) the conduct of a user, Provider or anyone else in connection with the use of TaGo’s Platform (Website and Mobile Applications), including without limitation, bodily injury, property damage, emotional distress, and/or any other damages, whether based on contract, tort, or otherwise. TaGo may be held liable for direct damages if such damages are proven to be the result of the negligent, reckless or intentional acts or omissions of TaGo, in which case TaGo may only be liable in the amount and proportion that TaGo's acts or omissions caused such damages.

Copyright Policy

Except for that information, which is in the public domain, you may not post, copy, modify, publish, transmit, distribute, perform, display, sell or reproduce in any way any Intellectual Property without obtaining the prior written consent of the owner of such Intellectual Property. TaGo can remove any User Content you post on the Platform that violates this statement. If you believe that your work has been copied and posted on TaGo’s Platform (Website and Mobile Applications) in a way that constitutes infringement, please provide our Copyright Agent with the following information: (1) an electronic or physical signature of the person authorized to act on behalf of the owner of the interest; (2) a description of the work that you claim has been infringed; (3) a description of where the material that you claim is infringing is located on TaGo’s Platform (Website and Mobile Applications); (4) your address, telephone number, and email address; (5) a written statement by you that you have a good faith belief that the disputed use is not authorized by the owner, its agent, or the law; (6) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the owner or authorized to act on the owner's behalf. Content

Users may post information, reviews, comments, messages, photos, profiles; send emails, e-cards and other communications; and submit materials, suggestions, ideas, comments, questions, or other information (collectively "User Content"), so long as the User Content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." You agree that all of the User Content and information posted on TaGo’s Platform (Website and Mobile Applications) (including any ratings, reviews and/or other User Content posted by you), is the sole and exclusive property of TaGo. The reviews and ratings that You provide do not reflect the views of TaGo. TaGo reserves the right (but not the obligation) to remove, change or edit such User Content in its sole discretion.

Reliance on Content, Etc.

Opinions, advice, statements, reviews, offers, or other information or User Content made available through TaGo’s Platform (Website and Mobile Applications), but not directly by TaGo, are those of their respective authors, and should not necessarily be relied upon. Such authors are solely responsible for such User Content. TaGo does not: (i) guarantee the accuracy, completeness, or usefulness of any information on TaGo’s Platform (Website and Mobile Applications); or (ii) adopt, endorse or accept responsibility for the accuracy or reliability of any opinion, advice, or statement made by any party that appears on TaGo’s Platform (Website and Mobile Applications). Under no circumstances will TaGo or its affiliates be responsible for any loss or damage resulting from your reliance on information or other content posted on TaGo’s Platform (Website and Mobile Applications) or transmitted to or by any Users.

Information You Provide to TaGo

Upon using or registering for an account on TaGo’s Platform (Website and Mobile Applications) , you will be prompted to disclose certain information about yourself and your service needs if you request services. Some of this information will be sent to Providers, who will use this information to respond to you. By providing this information to TaGo, or by submitting a Provider Request, you are requesting, and you expressly consent to having details of your Provider Request sent to Providers. You further consent to TaGo's use and display on TaGo’s Platform (Website and Mobile Applications) of anonymous data records compiled from information collected from your Provider Request, including your first name and the nature of the services you requested in your city. Such information helps other Consumers and Providers evaluate and utilize TaGo's services.

If you book or shop a service or product from a Provider, TaGo will facilitate identifying information such as your full name and contact telephone number to the Provider(s) you selected for the transaction. This information will be sent to the Provider(s) you selected even if you are listed on any federal, state, provincial or other applicable "Do Not Call" list, in order that TaGo may provide the services set forth on TaGo’s Platform (Website and Mobile Applications), to service your account, to reasonably address matters pertaining to your account or for other purposes reasonably related to your Provider Request and TaGo's business, including marketing related emails. For complete details on TaGo's use of your information, please review our Privacy Policy. You promise that all information you provide will be accurate, current and truthful. If you provide any information that is untrue, not current or incomplete, or TaGo has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, TaGo has the right to bar you from any current or future use of the TaGo services (or any portion thereof).You are responsible for maintaining the confidentiality of your account password. You are also responsible for all activities that occur in connection with your account. You agree to notify us immediately of any unauthorized use of your account.

In the event that you provide TaGo with any feedback regarding the TaGo service or TaGo’s Platform (Website and Mobile Applications), including without limitation, any flaws, errors, bugs, anomalies, problems with and/or suggestions for the service or TaGo’s Platform (Website and Mobile Applications) ("Feedback"), such Feedback will be the property of TaGo who shall have the right to use such Feedback and related information in any manner TaGo deems appropriate.

Content Posted by You on TaGo’s Platform (Website and Mobile Applications)

You understand and agree that TaGo may review, edit, change and/or delete any User Content in its sole discretion. By posting User Content to any public area of TaGo’s Platform (Website and Mobile Applications), you automatically grant, and you represent and warrant that you have the right to grant, to TaGo, its affiliates, licensees and successors, an irrevocable, perpetual, non-exclusive, royalty-free, fully paid, fully sub licensable, worldwide license to use, copy, perform, sell, rent, lease, display, reproduce, adapt, publish, translate, modify and distribute such information and User Content and to prepare derivative works of, or incorporate into other works, such information and User Content throughout the world in any media, and to grant and authorize sublicenses of the foregoing. You further represent and warrant that public posting and use of your User Content by TaGo will not infringe or violate the rights of any third party. You grant TaGo and sub licensees the right to use the name that you submit in connection with such content, if they choose. TaGo takes no responsibility and assumes no liability for any content posted by User or any third party.

You are solely responsible for the User Content that you post on TaGo’s Platform (Website and Mobile Applications) or transmit to other users of TaGo’s Platform (Website and Mobile Applications) , including without limitation to Providers. You will not post on TaGo’s Platform (Website and Mobile Applications), or transmit to other Users, any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive or illegal material, or any material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity). You will not provide inaccurate, misleading or false information to TaGo or to any other user of TaGo’s Platform (Website and Mobile Applications) . If information provided to TaGo, or another user, subsequently becomes inaccurate, misleading or false, you will promptly notify TaGo in writing of such information.

The following is a partial list of the kind of User Content that is illegal or prohibited on TaGo’s Platform (Website and Mobile Applications). TaGo reserves the right to investigate and take appropriate legal action in its sole discretion against anyone who violates this provision, including without limitation, removing the offending communication from TaGo’s Platform (Website and Mobile Applications) and terminating the membership of such violators. It includes, but is not limited to, User Content that:

Your use of TaGo’s Platform (Website and Mobile Applications), including but not limited to the User Content you post on TaGo’s Platform (Website and Mobile Applications), must be in accordance with all applicable laws and regulations. All information you include in your account information must be accurate, current and complete. TaGo reserves the right to investigate and terminate your membership if you have misused TaGo’s Platform (Website and Mobile Applications), or behaved in an inappropriate, unlawful or illegal manner.

You acknowledge that a violation of the foregoing User Content provisions could result in significant damages to TaGo, and you agree that you are liable to TaGo for any such damages. TaGo reserves the right to revoke your access to TaGo’s Platform (Website and Mobile Applications) and services at any time and for any reason. With exception of information that is generally accessible to the public, all information about Providers is confidential and for your personal use only. If it is determined or suspected by TaGo in its sole discretion that you are misusing or attempting to misuse or circumvent the TaGo services or system, or are using or attempting to use them for any inappropriate, non-personal, or commercial purposes, including but not limited to activities such as hacking, infiltrating, fraud, advertising, jamming or spamming, TaGo reserves the right, in its sole discretion, to immediately terminate your access without notice and to initiate without notice appropriate legal actions or proceedings to seek appropriate remedies and/or damages, including but not limited to direct and consequential damages, lost revenue, repairs, legal fees, costs and expenses, and to seek specific performance, injunctions or other equitable remedies.

General

Force Majeure
Other than payment obligations, neither TaGo nor you shall be liable to the other for any delay or failure in performance under the Terms arising out of a cause beyond its control and without its fault or negligence. Such causes may include but are not limited to fires, floods, earthquakes, strikes, unavailability of necessary utilities, blackouts, acts of God, acts of declared or undeclared war, acts of regulatory agencies, or national disasters.

No Third-Party Beneficiaries
You agree that, except as otherwise expressly provided in these Terms, there shall be no third-party beneficiaries to these Terms.

Contacting You and E-SIGN Consent
You agree that TaGo may provide you with notices, including those regarding changes to the Terms, by email, regular mail, or postings on the Platform. With your consent, TaGo, Customer Members, Service Members, or other individuals may also contact you by telephone or through text messages. If you have agreed to receive text messages or telephone calls from TaGo, Customer Members, Service Members, or other individuals you also consent to the use of an electronic record to document your agreement. You may withdraw your consent to the use of the electronic record by sending an email to support@tradeandgo.com with "Revoke Electronic Consent" in the subject line. To view and retain a copy of this disclosure or any information regarding your enrollment in this program, you will need (a) a device (such as a computer or mobile phone) with a web browser and Internet access; and (b) either a printer or storage space on such device. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or additional terms and conditions or policies published by TaGo on the Platform, shall constitute the entire agreement between you and TaGo concerning the Platform or Providers’ Services obtained through the Platform. Except as explicitly stated herein, if any provision of the Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of the Terms, which shall remain in full force and effect.

Waiver
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such term or any other term, and TaGo's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Statute of Limitations
You agree that regardless of any statute or law to the contrary, any claim arising out of or related to the Platform or the Providers’ Services offered therein must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred. Notwithstanding the foregoing, this statute of limitations shall not apply to residents of New Jersey.
